iResearchPanel (iRP) is committed to protecting the privacy of the visitors of our website and our users. iRP uses surveys and passively-tracked online browsing behaviour (including the content of web pages visited) of it's users as part of anonymous market research reports that help shape the future of the Internet. The information you contribute will be used by Komli Media Pvt Ltd, a leading Indian Ad network.

Be assured that protection of your privacy is one of our top priorities. While participation in our program will allow us to send you periodic surveys and track information about your online activities such as where you surf and the transactions that you make, the personally identifiable information you provide to us will NOT be used by us, or anyone with whom we do business, to advertise or market products or services to you.

PRIVACY POLICY & USER LICENSE AGREEMENT

1. Before joining our program, enjoying the benefits of this program, and installing the iRP Application (defined below), you must review and agree to the terms and conditions below and provide and obtain consent to this user license agreement and privacy policy (collectively, "Agreement") from anyone who will be using the computers on which you install the iRP Application. By installing the iRP Application, you agree to be bound by this Agreement, including the storage of the market research information provided by you on our computer systems. By clicking "accept," "finish," "continue" or a similar acknowledgment below, or by using all or any portion of the iRP Application, you accept all the terms and conditions of this Agreement, agree that this Agreement is enforceable like any written Agreement signed by you. If you do not agree, do not install or use the iRP Application.
   
   
2. "iRP Application" means browser helper object that shall, including without limitation, (a) monitor and transmit your web surfing and computer details to our server (b) notify you about various offers (c) pop occasional questionnaires.
   
   
3. 
   Special Notice for Non-English Speakers:
   The iRP Application is suited primarily for the use of English speakers and, therefore, this Agreement is written in English and is addressed to English speakers. If you are not proficient in English and feel that you cannot properly understand this Agreement, we recommend that you either retain the help of an English speaker to help you understand and accept the terms of this Agreement or, alternatively, refrain from installing or using the iRP Application.
   
   
4. Requirements for participation
   In order to participate in this program, you must own or control the computers that you allow to be configured to use this system.
   Please note: many companies restrict the installation of software onto work computers. Before you install this software onto a work computer, please check your company's software installation policy. You represent and warrant either that you are the owner of the computer and that you have authorized the download and installation of the iRP Application or that the owner of the computer has authorized you to do so. You agree, with respect to all users of the computer on which you have caused the iRP Application to reside, to provide a copy of these terms and conditions and to obtain their consent to these terms and conditions before allowing them to use the iRP Application. Alternatively, if you have the legal right to accept this Agreement on behalf of one or more users of the computer on which you have caused or authorized the iRP Application to reside, then you hereby accept this Agreement on behalf of all such other users. You understand that the presence of the iRP Application on any computer is voluntary and that you may remove it at any time. Use of the iRP Application is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the iRP Application. You must be at least 18 years of age to use the iRP Application. By accepting the terms of this Agreement and using the iRP Application, you represent that you are over the age of 18. If you are a minor and wish to use the iRP Application you may do so through your legal guardian or parents. As long as you comply with, and subject to, the terms of this Agreement, iRP grants to you a non-exclusive, revocable license to use the iRP Application, solely for the purposes described in this Agreement. If you are registering as a business entity, you represent that you are duly authorised by the business entity to accept this Agreement and you have the authority to bind that business entity to this Agreement.
   
   
5. Information collected
   Basic Contact information: When you opt to sign up for the program, you would be required to give us your name and email. We shall use this to send you emails about any updates about iRP Application. We will even send mailers about latest offers and promotions, should you wish to receive those.
   
   Basic Demographic Information: When you install the iRP Application, we obtain your basic demographic information using a questionnaire. This information collected is not tied to your name and email and hence is completely anonymous. We require that you provide complete and accurate information about yourself and your household.
   
   Internet usage information: Once you install the iRP Application, it monitors all of the internet behavior that occurs on the computer on which you install the iRP Application, including your normal web browsing, search behavior and the activity that you undertake during secure sessions, such as filling a shopping basket, completing an application form or checking your online accounts, which may include personal financial or health information but will not include information such as your user ID, password, credit card numbers and bank account numbers. We may use the information that we monitor for the purpose of better understanding your household demographics.
   
   The iRP Application also tracks the usage of cookies, and statistics about your use of online applications (for example, it may observe that during a given period of use of a computer, the computer downloaded X number of bytes of data using a particular internet enabled gaming application).
   
   Please note: The iRP Application does not examine the text of your instant messages or e-mail messages. We may, however, review select e-mail header information from web-based e-mails as a way to verify your contact information and your online usage information.
   
   
6. Information collection process
   The iRP Application monitors your internet usage by transmitting to our servers information about the web pages that you visit and the actions that you take while online. In addition, we ask a few questions during installation. Both these are tied together to get an overall picture of the profile and web behaviour of the user.
   
   
7. Usage of information
   Market Research Reports: Applying concepts similar to those used by television-rating services, we use the information collected through the iRP Application and your survey responses, combined with information from other sources, to make statistically-based projections about current and future internet user behavior and, more generally, to extrapolate data about potential economic trends. We make this data available to the marketers and publishers so that they may enhance their own understanding of internet usage and online commercial trends.
   
   Our customers use our market research reports to: (i) modify online services and offerings; (ii) make more effective use of online data to understand both online and offline commercial behavior; and (iii) discern general economic trends and the business performance of specific entities for a wide range of business purposes including, but not limited to, identifying financial investment opportunities and understanding the value and interest in certain business enterprises.
   
   As required by law and in rare cases, and as is done by any other business, if we are compelled to disclose certain information through a valid legal process, such as a court order, summons, or a search warrant, we would do so. However, we would comply by providing only the minimum information necessary.
   
   Please note that the entire data collected belongs to Komli Media Pvt Ltd ("Komli") and it can use the data at their discretion including but not limited to selling, sharing and distributing the data.
   
   
8. Security
   Safeguards: We have implemented a variety of safeguards (including physical, digital, and legal protections) focused on ensuring that the information collected through this program is protected from unauthorized use, modification, or disclosure. For example, any secure information collected by the iRP Application is encrypted before it is sent to our servers.
   
   
9. Usage of Cookies
   We use cookies to identify you as you go through any required registration processes on our site, and to assist us in conducting occasional diagnostic tests to ensure that our system is functioning correctly. Our cookie does not contain any personally identifiable information about you.
   
   
10. Participant obligations
    As a participant, you agree to:
    
    • Allow this program to collect and use information obtained from you and related to you and your household's internet use as described in this Agreement;
    • Make reasonable efforts to ensure that any other person who uses such computers is aware of and agree to the terms of this Agreement;
    • Accept automatic changes to your system settings that are made solely to ensure compatibility between your computer system and this program, and periodic software upgrades;
    • Receive administrative e-mails, including e-mails sent to: (i) inform you about upgrades, or issues related to basic program/iRP Application functions or disruptions; (ii) provide notification about awards and special participant opportunities; (iii) request updated demographic information or information regarding usage of the iRP Application; and
    • Regularly visit and review the Agreement posted on this website, so that you are aware of any changes made to this Agreement. Please see Clause 12 of this Agreement in this regard.
    • Provide true, accurate, current and complete information about yourself when downloading the iRP Application.
    • Maintain and promptly update your data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with the the Agreement, we have the right to indefinitely suspend or terminate your use of the iRP Application and refuse to provide you with access to the website.
    • Comply with all applicable laws in your use of the iRP Application and only use the iRP Application for personal, non-commercial use.
    As a participant, you agree not to:
    
    • Use the iRP Application in any way that: (i) harms or harasses others; (ii) violates any central, state or local laws or ordinances; (iii) violates or infringes on the intellectual property rights of any third parties including, but not limited to, copyright, trademark, patent, trade secret, rights of privacy or publicity or other proprietary right; or (iv) interferes with or disrupts the iRP Application; and
    • Attempt to defeat or circumvent the iRP Application, it being your responsibility to remove the iRP Application as instructed in this Agreement or expressly by an authorized service representative.
    • Reverse engineer, disassemble or decompile the iRP Application or attempt to discover or recreate the source code to the iRP Application, except as otherwise required by applicable law,
    • Make any modification, adaptation, improvement, enhancement, translation or derivative work of or to the iRP Application,
    • Remove, alter or obscure any proprietary notices (including copyright notices) of iRP Application,
    • Use the iRP Application for purposes for which it is not designed,
11. iResearchPanel's commitment to participants
    We commit to making commercially reasonable efforts to do the following:
    
    • Only use information obtained from or about you as described in this Agreement;
    • Provide customer support when you experience problems with the iRP Application, on the condition that you provide requested information about the problems experienced and the conditions of your computer environment, and agree to take reasonable efforts to follow the instructions supplied by our support staff.
12. Notification of changes to this Agreement
    If we materially change other aspects of the iRP Application, including but not limited to any changes to the scope or nature of incentives provided, we will post these changes on our website, and the changes will be effective immediately upon such posting. If you do not agree with any of the changes, you may remove the iRP Application as described above.
    
    
13. Discontinuing participation
    Removing the iRP Application: You may remove the iRP Application using the Windows Add/Remove Programs function (known as "Programs and Features" in Vista). A detailed explanation for removal of the iRP Application can be found in our FAQ section. Please be sure to follow this same removal procedure on all of the computers from which you wish to remove the iRP Application. Removing the iRP Application will stop tracking of your online browsing. After you remove the iRP Application from a computer, all settings we have made to your computer will be deactivated; however, some inactive elements may remain on your machine such as registry entries or DLL files, which is not at all unusual for many types of online services and software.
    
    
14. Use of third party programs to remove the iRP Application: Please note that use of third party programs to remove the iRP Application may cause instability in your system and to your internet connection. We reserve the right to repair any of its settings that are partially removed, to minimize potential instability. Should you wish to resign, we ask that you use the instructions provided above.
    
    Please note: we may continue to use information collected prior to resignation, but all such information remains fully subject to, and governed by, the Agreement effective at the time of your resignation.
    
    
15. Other legal terms and conditions of participating in the iRP Application
    (i) Intellectual Property Rights.
    
    The iRP Application is the intellectual property of, and owned by Komli and its licensors and suppliers. The structure, organization and code of the iRP Application are the valuable trade secrets and confidential information of Komli and its licensors and suppliers. Except as expressly stated herein, this Agreement does not grant you any intellectual property rights in the iRP Application by implication or any other legal theory, and all rights not expressly granted in this Agreement are reserved by Komli and its assigns, licensors and suppliers. Solely to enable Komli to use the information you supply us with, so that we are not violating any rights you might have in your information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity and database rights you have in your information, in any media now known or not currently known. We will only use your information in accordance with this Agreement.
    
    (ii)No Warranty
    
    The iRP Application is being delivered to you "AS IS" and comes with no warranty as to its use or performance. The iRP Application comes with no technical support, warranties express, implied or statutory or remedies for the iRP Application. Komli and its suppliers do not and cannot warrant the performance or results you may obtain by using the software and iRP Application. The provisions of Clause 15 (ii) and (iii) of this Agreement shall survive the termination of this Agreement, howsoever caused, but this shall not imply or create any continued right to use the iRP Application after termination of this Agreement. You expressly agree that your use of the iRP Application and our website is at your risk.
    
    (iii) Indemnity and Limitation of Liability.
    
    In no event will Komli or its suppliers be liable to you for any direct damages, claims or costs whatsoever or any consequential, indirect, incidental, special or exemplary damages, or any lost profits or lost savings, data or other intangible losses that might arise due to the use of iRP Application. Komli aggregate liability and that of its suppliers under or in connection with this Agreement shall be limited to the amount paid for the iRP Application, if any (even if Komli has been advised of the possibility of such damages). You shall indemnify and hold harmless Komli and its subsidiaries, affiliates, third-parties and their respective officers, directors, agents, and employees, from any claim or demand, or actions including reasonable attorneys' fees, made by any third party or penalty imposed due to or arising out of your breach of the Agreement or your violation of any law, rules or regulations or the rights of a third party.
    
    (iv) Relationship, Notice, Severability and Assignment
    
    None of the provisions of the Agreement shall be deemed to constitute a partnership or agency between you and Komli and you shall have no authority to bind us in any manner whatsoever.
    
    When you use the iRP Application or send emails or other data, information or communication to Komli, You agree and understand that you are communicating with Komli through electronic records and you consent to receive communications via electronic records from Komli periodically and as and when required. Komli will communicate with you by email or by a website post or electronic record on the website which will be deemed adequate service of notice/ electronic record. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to us during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.
    
    If any clause of the Agreement shall be deemed invalid, void or for any reason unenforceable, such clause shall be deemed severable and shall not affect the validity and enforceability of the remaining clauses of the Agreement.
    
    Komli shall be free to assign all or part of this Agreement to any affiliate or third party and shall notify you on such assignment. You shall not be entitled to assign all or part of this Agreement in any manner whatsoever.
    
    (v) Arbitration
    
    If any dispute arises between you and Komli during your use of the iRP Application or website, in connection with the validity, interpretation, implementation or alleged breach of any provision of the Agreement, the dispute shall be referred to a sole Arbitrator who shall be an independent and neutral third party identified by Komli. The place of arbitration shall be Mumbai. The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language.
    
    (vi) Governing Law
    
    The Agreement shall be governed and construed in accordance with the laws of India.
